1. Acceptance of Terms
By accessing or using the Mill Supply Co. website at millsupplyco.com (the “Site”), creating an account, or placing an order, you (“Customer,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not use the Site or purchase products from us.
These Terms constitute a legally binding agreement between you and Mill Supply Co., Inc. (“Mill Supply,” “we,” “us,” or “our”), a Maryland corporation with principal offices at 6210 Frankford Avenue, Baltimore, MD 21206.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated “Last Updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
2. Eligibility and Account Registration
2.1 Eligibility
The Site is intended for use by businesses, property management companies, contractors, maintenance professionals, and individuals who are at least 18 years of age. By using the Site, you represent that you meet these requirements.
2.2 Account Types
We offer two types of accounts:
- Individual Accounts — For personal purchases, with payment by credit card.
- Company Accounts — For business purchases, with payment by credit card or by applying for a credit account (net terms, subject to approval).
2.3 Account Responsibilities
You are responsible for:
- Providing accurate, current, and complete registration information
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us promptly of any unauthorized use of your account
We reserve the right to suspend or terminate accounts at any time, including for violation of these Terms, suspected fraud, or nonpayment.
3. Products and Pricing
3.1 Product Descriptions
We make reasonable efforts to accurately describe and display our products, including images, dimensions, specifications, and descriptions. However, we do not warrant that product descriptions, images, or other content on the Site are complete, accurate, reliable, current, or error-free. Product images are representative and may vary from the actual product in color or appearance due to photography, display settings, or manufacturing variations.
3.2 Pricing
All prices are subject to change without notice. You will be billed at the prices prevailing at the time of shipment, except for backordered items which will be billed at the price in effect when the backordered items ship.
Prices displayed on the Site may vary depending on your account status:
- Guest visitors see standard list pricing.
- Registered customers may see account-specific pricing, including contract pricing, quantity break pricing, or promotional pricing where applicable.
Despite our best efforts, pricing errors may occur. If we discover a pricing error after an order is placed, we will notify you and provide the option to confirm or cancel the order at the corrected price. We reserve the right to cancel any order placed at an incorrect price.
3.3 Product Availability
Product availability is subject to change at any time. We receive products daily, and the availability displayed on the Site may not always reflect current stock levels. We reserve the right to limit order quantities and to refuse or cancel any order.
3.4 Minimum Order Quantities
Certain products have minimum order quantities or must be ordered in specified multiples. These requirements are displayed on the product detail page and are enforced at the time of order.
4. Orders
4.1 Order Acceptance
Placing an order on the Site constitutes an offer to purchase. All orders are subject to acceptance by Mill Supply. We may decline or cancel any order for any reason, including but not limited to product unavailability, pricing errors, suspected fraud, or credit issues.
Order confirmation (including an order number) indicates that your order has been received and accepted for processing. It does not guarantee availability or shipment of all items.
4.2 Purchase Order Numbers
Business accounts may be required to provide a purchase order (PO) number at checkout, depending on account configuration. We will alert you if a duplicate PO number is detected.
4.3 Backorder Handling
At checkout, you may select one of the following preferences for out-of-stock items:

4.4 Order Modifications and Cancellations
Once an order has been submitted, modifications and cancellations must be requested by contacting our customer service department at (410) 485-3343. We will make reasonable efforts to accommodate your request, but we cannot guarantee changes to orders that have already entered the fulfillment process.
4.5 Quotes
Registered customers may request quotes through the Site. Quotes are valid for 30 days from the date of creation. After expiration, quotes must be repriced at current pricing before conversion to an order.
5. Payment
5.1 Accepted Payment Methods
- Credit Card — Visa, Mastercard, American Express, and Discover
- Bill to Account — Available to approved credit account customers with active net terms. Not available to accounts on COD terms or accounts on hold.
- Saved Payment Methods — Customers may save credit cards for future use. Card data is tokenized by our payment processor; we do not store full card numbers.
5.2 Credit Accounts
Business customers may apply for a credit account by completing a credit application. Credit approval is at our sole discretion and may require bank and trade references. Approved credit customers are assigned payment terms and may place orders billed to their account.
We reserve the right to modify or revoke credit terms at any time based on payment history, creditworthiness, or other factors. Accounts with overdue balances may be placed on hold, preventing new online orders until the balance is resolved.
5.3 Payment Processing
Credit card transactions are processed through Authorize.Net, a Visa company. By providing your credit card information, you authorize us to charge your card for the total order amount, including applicable taxes and shipping charges.
5.4 Sales Tax
Sales tax is calculated based on the applicable rate for your shipping destination and your account’s tax status. Tax-exempt customers must have a valid tax exemption certificate on file. To submit a tax exemption certificate, contact our customer service department.
6. Shipping and Delivery

6.2 Free Shipping
Orders totaling $100.00 or more (before tax) may qualify for free standard carrier shipping. Free shipping applies to the lowest-cost carrier option. Free shipping does not apply to Our Truck local delivery, oversized items, or items with shipping restrictions.
6.3 Shipping Restrictions
Certain products are subject to shipping restrictions:
- Hazardous materials: Ground shipping only — no air transport.
- Oversized items: Limited carrier options; USPS not available.
- Fragile items: May require special handling.
- License-required items: Shipping may require a valid license on file.
Orders containing items with different shipping restrictions may be split into multiple shipments.
6.4 Delivery Times
Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, weather, or other circumstances beyond our control. Risk of loss and title to products pass to you upon delivery to the carrier.
6.5 Shipping Address Accuracy
You are responsible for providing accurate shipping addresses. We are not responsible for delays or non-delivery resulting from incorrect addresses provided by the Customer.
7. Returns, Refunds, and Exchanges

8. Warranties and Disclaimers
8.1 Manufacturer Warranties
Products sold through the Site may carry manufacturer warranties. Mill Supply passes through any applicable manufacturer warranties to the Customer. Warranty claims should be directed to the original manufacturer unless otherwise specified.
8.2 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT PRODUCT DESCRIPTIONS, PRICING, IMAGES, AVAILABILITY, OR OTHER CONTENT ON THE SITE ARE ACCURATE, COMPLETE, RELIABLE, OR CURRENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MILL SUPPLY CO., INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCTS PURCHASED THROUGH THE SITE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless Mill Supply Co., Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, violation of these Terms, or violation of any applicable law.
11. Intellectual Property
All content on the Site, including text, graphics, logos, images, product descriptions, software, and the overall design and layout, is the property of Mill Supply Co., Inc. or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.
“Mill Supply,” “Mill Supply Co.,” the Mill Supply logo, and other Mill Supply marks are trademarks of Mill Supply Co., Inc. All other trademarks appearing on the Site are the property of their respective owners.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose — browsing products and placing orders. You may not reproduce, distribute, modify, or commercially exploit any Site content without our prior written consent.
12. User Conduct
You agree not to:
- Use the Site for any unlawful purpose
- Interfere with or disrupt the operation of the Site
- Attempt to gain unauthorized access to any part of the Site or other accounts
- Use automated systems (bots, scrapers, etc.) to access the Site without our express written permission
- Submit false, misleading, or fraudulent orders or account information
- Circumvent or interfere with security features of the Site
13. Third-Party Integrations
Yardi Procure to Pay
Customers accessing the Site through Yardi Procure to Pay are subject to these Terms in addition to their agreement with Yardi. Orders placed through Yardi are submitted to the Yardi system for PO assignment and approval before fulfillment by Mill Supply. Mill Supply is not responsible for delays in Yardi’s approval process.
Third-Party Links
The Site may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of any third-party sites.
14. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Baltimore City, Maryland, and you consent to the personal jurisdiction of such courts.
16. Dispute Resolution
Before initiating any formal legal action, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
18. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
19. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific services (such as credit account agreements), constitute the entire agreement between you and Mill Supply Co., Inc. regarding your use of the Site.
20. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of government, supply chain disruptions, labor disputes, utility failures, cyberattacks, or carrier delays.
